Certain Transactions

During the summer of 2007, the company hired Lindsey Jackson, the daughter of Peter H. Jackson, the Chief Executive Officer of the company, for a paid summer internship, and Jordan Pervere, the son of Peter F. Pervere, a director of the company and the Chairman of the Audit Committee of the company, for an unpaid summer internship. Each of these internships were reviewed and approved by the disinterested members of the Audit Committee.
