INTRAWARE SECURES TWO NEW SUBSCRIBENET CUSTOMERS IN ITS FISCAL FIRST QUARTER

ORINDA, Calif., - June 5, 2007 - Intraware®, Inc. [NASDAQ: ITRA], the leading provider of on-demand digital asset and entitlement management solutions, today announced that it signed SubscribeNet® service agreements with two leading technology providers during its fiscal first quarter (ending May 31, 2007).

The new customers include a developer of high-performance network applications for next-generation fixed, mobile, and packet networks, and a technology leader in communications, electronics, life sciences and chemical analysis.  Both customers will use SubscribeNet Software Manager for the digital delivery and management of their software applications.  One of the new customers will use SubscribeNet License Manager to offer its customers continuous access to the assets they have purchased over time through Intraware’s secure online platform.

Existing Customer Leverages Relationship between Intraware and Digital River

Intraware also announced today that it has partnered with Digital River to deliver an e-commerce solution to one of Intraware’s long-time customers. The enterprise software customer will benefit from the collaboration that combines Digital River’s end-to-end e-commerce services with Intraware’s digital asset delivery and entitlement management services to create a best-in-class integrated solution.

Through an agreement established in June 2006, Intraware and Digital River work collaboratively in joint marketing and co-selling initiatives to offer a solution for enterprise technology publishers to manage contracts, sales, distribution and fulfillment as well as licenses and renewal of digital goods.
