INTRAWARE ACHIEVES SAS 70 TYPE II CERTIFICATION

ORINDA, Calif. - March 27, 2006 - Intraware, Inc. [NASDAQ: ITRA], a leading provider of electronic software and license delivery and management solutions, announced today that it has obtained a Statement on Auditing Standard, Service Organizations, No. 70 (SAS 70) Type II audit performed by an independent auditing firm. The audit covers the architecture and operations of Intraware's SubscribeNet® service. The SAS 70 is an internationally recognized auditing standard developed by the American Institute of Certified Public Accountants (AICPA). The widely-recognized SAS 70 validates that a service organization has been through an in-depth audit of its control activities, which generally include controls over information technology and related processes.

By successfully completing the audit, Intraware has demonstrated that it has implemented stringent controls for its electronic software and license delivery and management services. The Sarbanes-Oxley Act of 2002 makes SAS 70 audit reports even more vital to the process of reporting on a web-service organization's internal controls.
