INTRAWARE RENEWS ALLIANCE AGREEMENT WITH SOFTWARE SPECTRUM

ORINDA, Calif. - August 2, 2005 - Intraware, Inc. [NASDAQ: ITRA], the leading provider of digital delivery and management services, today announced that it has signed a two-year renewal of its Sales Alliance Agreement with Software Spectrum, Inc. Under the agreement, Intraware will continue providing outsourced sales services and its SubscribeNet® digital delivery service to Software Spectrum for Sun^TM Java^TM System software.

The highly successful alliance enables Sun Microsystems, Inc. and its customers to benefit from Intraware's unique expertise in selling Sun Java System software, Intraware's best-in-class SubscribeNet electronic software delivery and management service, and Software Spectrum's expertise as one of the world's largest single-source providers of business-to-business IT solutions and services.

As in the past, the agreement will be terminable by either party on sixty days' notice.
